Otter takes repayable $320M instead of a dilutive round

Otter.ai has accepted $320M from General Catalyst's Customer Value Fund, capital it repays with interest rather than handing over equity.

The Mountain View transcription company has taken $320M in non-dilutive growth capital from General Catalyst’s Customer Value Fund, an unusual structure that funds sales and marketing rather than research.

Otter pays the money back with interest, so existing shareholders give up no ownership. Under the arrangement, the fund is paid for the go-to-market spend and recoups its return from the results of that spending, rather than from a share of the company.

The financing points to a bet on enterprise distribution. Otter has more than 40 million users, most of whom arrived through consumer meeting notes, and management wants that foothold converted into corporate contracts where voice data becomes a system of record for decisions.

Competition in meeting intelligence has hardened, with platform vendors bundling transcription into their own collaboration suites and a cluster of AI notetakers chasing the same enterprise budgets. Consumer scale alone has not historically translated into durable enterprise revenue in this category.

Otter has not disclosed the enterprise revenue it is betting the capital on, and the repayment terms remain private.

General Catalyst indicated it could provide more capital once the first tranche is deployed.
