Upwind turns down Datadog and closes $400M instead

Cloud security startup Upwind took a bigger cheque days after reportedly walking away from a $4B takeover approach.

Cloud security spending is not slowing for anyone, least of all Upwind Security. The company closed $400M in new funding at a $3.8B valuation, roughly $2B higher than where it started the year.

September coverage had the round pegged at $300M, but Upwind kept the books open and banked another $100M. Revenue, meanwhile, has quadrupled so far in 2026.

Israeli business daily Globes, citing The Information, reported days earlier that Upwind had rejected a $4B acquisition offer from Datadog. The funding announcement does not mention the approach.

Upwind runs on runtime telemetry pulled from cloud workloads, APIs and AI agents, with specialized agents taking over triage. Those agents probe a finding, verify it, and then apply the repair, leaving analysts to decide what to do next. Named customers include Siemens, Roku and Carvana, and the product sells inside the AWS console through Security Hub.

Chief executive Amiram Shachar argues the problem is no longer detection. Agents now deployed inside enterprises can rewrite a cloud environment faster than a human crew can track, he says, which forces security tooling to render workload, API and agent behavior live rather than after the fact.

Competitive pressure is real. Wiz, Orca and Palo Alto Networks are racing to bundle agent visibility into broader platforms, and cloud buyers have spent two years consolidating vendors rather than adding them. A $3.8B mark means growth has to keep compounding.

The company dates to 2022, when Shachar launched it alongside former Spot colleagues. NetApp reportedly paid $450M for that cloud optimization startup in 2020. The team’s second act is now one of the largest private cloud security companies in the market.

With a reported $4B bid declined and a bigger round banked, the question is whether Upwind can hold its mark should an IPO window open in security.
