Instacart weighs a $17B exit as Uber and DoorDash circle

Fourteen years after condensing supermarket shelves into an app, Instacart is exploring a sale. The company has hired a bank and held at least preliminary talks with Uber and DoorDash, per The Information, with a price landing between $16B and $17B.

A market value near $12B means the top of that range implies a 30% to 40% premium, a figure worked out by analysts rather than offered by any suitor. Nothing is signed, and the process could still end with Instacart independent.

Public investors treated the report as progress. Instacart closed up about 9% on Friday while Uber slipped nearly 3% and DoorDash more than 4%, shareholders already pricing a bidding war.

What the buyer actually gets

The asset is less the app than the plumbing under it: retailer relationships across thousands of stores, an advertising business with better margins than delivery, and a shopper network trained on picking and substituting.

Both suitors sit in adjacent lanes. DoorDash absorbed Deliveroo for roughly $3.9B a year ago and bought Wolt in 2022, so grocery depth fits its pattern of buying into new categories. Uber would gain the piece it has struggled to build alone.

A slower growth story looking for a home

Instacart’s problem is familiar to anyone who built on pandemic habits. Growth cooled as supermarkets shipped their own apps and Amazon and Walmart poured money into same-day delivery, leaving a strong brand with no obvious way to compound quickly.

Consolidation has been the answer for its competitors, and a sale lets early backers clear positions. The read for founders is simple: a category leader with real infrastructure still fetches a premium, but the price gets set by someone else’s strategy.
