Germany’s Mittelstand faces a generational handover problem. Thousands of profitable owner-run businesses have no family successor, and most would rather sell to a specialist than to a rival or a generic buyout fund.

Gaius Capital, a Berlin private equity firm, has raised its debut vehicle to address exactly that. The fund, Gaius Nachfolgekapital I, closed at €50M after hitting its hard cap, with another €6M raised through a co-investment vehicle for €56M in total. The close came just four months after the first closing.

The firm targets business succession deals in the DACH Mittelstand, the small and mid-sized industrial companies that form the backbone of the German economy.

Succession investing sits between venture and traditional buyout. Deals are smaller, growth is steadier, and the value comes from professionalising operations rather than engineering a rapid exit.

Institutional appetite for the strategy has grown as founders who built businesses in the 1990s reach retirement without a plan. Advisory firms report a persistent gap between available capital and the number of owners willing to start a sale process.
