CodeRabbit has collected $143M in Series C funding led by Atomico and Smash Capital, arriving as engineering teams struggle to review code written by AI agents.

New backers include BMW i Ventures, Datadog, Hirtle Callaghan and SineWave Ventures. Returning investors CRV, Scale Venture Partners, Flex Capital and Pelion Venture Partners also joined the round.

The company built its name on an automated code review tool that checks freshly generated pull requests for syntax errors, logic bugs and security flaws in real time. Co-founder and CEO Harjot Gill says that approach no longer scales, because code now arrives from developers, nontechnical staff and autonomous coding agents at the same time.

“Every change creates a decision for the team,” Gill said. “A simple code quality review is no longer enough.”

Alongside the raise, CodeRabbit launched Agentic Change Management, a control layer with three capabilities. Triage scores and routes incoming pull requests by value, urgency and risk. Change Stack replaces plain file views with a visual map of a request’s impact on domain behavior and system dependencies. Security runs full-repository scans and keeps monitoring new code after it ships, generating fixes that flow back through the pull request loop.

The pitch is that teams need one system to govern high-volume AI code changes without losing control. CodeRabbit says the platform lets companies evaluate, prioritize and ship software from both humans and agents at much greater scale.

The round is another signal that the AI coding boom is shifting from generating software to managing it, with investors backing governance layers rather than just review bots.
