A security company is being acquired by a quantum computing firm. Up to $1.3 billion in stock is what IonQ agreed to pay for Elisity, a zero-trust cybersecurity startup.

The deal surfaced on October 12; paperwork filed with the SEC puts the signing of the merger agreement at October 9. At closing, Elisity’s shareholders get $1.15 billion in shares, plus as much as $150 million more should revenue milestones be met between August 2026 and January 2028.

IonQ’s 20-day average price before closing fixes the share count, confined to a band of $33.07 to $49.61. Subject to regulatory approval, the deal is expected to close in the fourth quarter of 2026, and if completion has not happened by January 7, 2027, either party may walk away.

IonQ described the purchase as a further step in its hardware build-out, citing the SkyWater Technology deal that broadened its chip design and fabrication capacity. What Elisity contributes is enterprise policy enforcement along with hands-on deployment experience.

For quantum startups, a commercial truth is signaled here. Compute cycles sell slowly, so enterprise software that runs on classical infrastructure today is where the near-term revenue story is heading, and buyers of one category do not automatically become buyers of the other.
